These Terms are between Global Point Services LLC, a Texas LLC, which operates OwnerClimb ("we"), and the business that uses our services ("Client").
1. The services
We work with one client business at a time as a growth partner. Our services are: - Free growth report: a short review of Client's business based on its website, public information, and what Client tells us. There is no charge and no obligation. - Intro call: a 20-minute call to talk through the report. - Audit ($500): a deeper review of Client's business, including information Client chooses to share, with written findings and recommendations. - Growth partnership: ongoing growth work as set out in a separate written agreement or order with Client.
- Sale-readiness work: if Client wants to get its business ready to sell, we help organize records, tidy operations and prepare materials so Client can work with licensed professionals. We do not value the business, find or negotiate with buyers, structure a deal, or give legal, tax, accounting, investment, valuation or brokerage advice.
- Introductions to licensed professionals: at Client's request, we may introduce Client to a licensed business broker, M&A advisor, CPA or attorney. Client chooses whether to hire anyone, and that professional's own agreement governs that work. We will not accept any referral fee or other compensation from a broker or other third party related to a Client introduction unless we first disclose it to Client in writing and Client consents in writing. Client is never obligated to use any broker or professional we introduce. Jeff Hund is not a licensed business broker and does not act as one.
2. No professional advice
We, including Jeff Hund, do not give legal, tax, accounting, investment, valuation or brokerage advice. Our reports, audits and recommendations are business information only. Client should consult its own qualified professionals before acting. Nothing on our website or in our reports is legal, tax, accounting, investment or financial advice. We do not guarantee any particular result, revenue or growth. Any goals and timelines we share are estimates, not promises.
3. Client responsibilities and information Client shares
- Accurate information about Client's business.
- Lawful use only. No spam, deception, or prohibited content.
- Business financial information. Client may choose to share business financial information (for example revenue, costs, or pricing) for the audit or growth work. We treat it as confidential under Section 4. Client must send it only through the secure channel we provide.
- What Client must not send us. Client must not send us protected health information (PHI) or other regulated health data, or sensitive identifiers such as Social Security numbers or full credit card or bank account numbers. We do not serve healthcare providers or other HIPAA-covered businesses and do not sign Business Associate Agreements.
4. Confidentiality
Each party will keep the other's non-public business information confidential, use it only to perform or receive the services, and share it only with personnel and service providers who need it for that purpose and are bound to protect it. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or rightfully received from someone else. A party may disclose information when the law requires, with notice to the other party where allowed. On request, we will return or delete Client's confidential information, except records we must keep by law.
5. No warranties
Services are provided "as is" and "as available", without warranties except those stated here, to the extent the law allows.
6. Fees and payment
- The free report and intro call are free.
- The audit fee is $500. If Client cancels the audit before we start work on it, we refund the full $500. Once work has started, the audit fee is not refundable.
- Partnership fees, billing and taxes are as stated in Client's written agreement or order.
- Term and cancellation of ongoing services: either party may cancel with 30 days' notice, unless the written agreement says otherwise.
7. Data
We handle data as described in our Privacy Policy. Client owns its business data.
8. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits. Our total liability under these Terms is limited to the fees paid by Client in the 12 months before the claim.
9. Indemnity
Client will defend and indemnify us against claims arising from Client's content or breach of Section 3.
